Changing a company’s registered seat in the Federation of Bosnia and Herzegovina (as well as in Republika Srpska or Brčko District) is a common step in business operations – whether due to relocation to a larger office, a better location, or organizational needs. Although it may seem simple, this change requires a regulated procedure before the competent court, as well as updating information in all relevant registers.
The registered seat is the official address where the company conducts its business and which is recorded in the court register. The change of registered seat must be recorded with the competent municipal court and then with the following institutions:
- Tax Administration (Tax Authority of FBiH),
- Indirect Taxation Authority (if the company is in the VAT system),
- Agency for Statistics,
- and possibly other institutions (e.g. municipality, chamber of commerce, banks).
To successfully change the company’s registered seat in FBiH, the following documents are typically required:
- A decision on the change of registered seat (signed by the director or the assembly – depending on the legal form),
- An amended Statute or Founding Act (if necessary),
- Proof of the right to use the new address (e.g. lease agreement or title deed),
- Completed court forms for registering the change,
- Court fees and administrative charges,
- Identification documents of the authorized person (copy of ID card or passport).
Depending on the canton and the court, notarization of signatures may also be required.
For companies registered in the Federation of BiH, the application is submitted to the competent municipal court – registration department. If the company is changing its registered seat to a different canton, the application must be submitted to the court according to the new seat. In such cases, the registration file is transferred as well.
If the documentation is complete, court registration of the seat change usually takes between 7 and 15 days. Once the court registers the change, the company is obliged to report the change to other institutions within a few days to ensure all systems are synchronized.
If a company changes its registered seat but fails to report the change to the court and other relevant authorities:
- all acts may be declared invalid,
- the company may face penalties for administrative violations,
- issues may arise in tax, financial, and legal communications.
